BERKELEY JAPAN ALUMNI ASSOCIATION



Effective as of June 16, 2006

CHAPTER 1   NAME AND DOMICILE


Article 1

The Name of this association shall be the UC Berkeley Japan Alumni Association.  It is hereafter referred to as gthe associationh.

Article 2

The objectives of the Association shall be to develop and promote friendship and meaningful human relationships among members (those who have studied at of have been associated with UC Berkeley).

Article 3

The Association shall conduct the following activities to accomplish the objectives as aforementioned.

1.      Compiling a roster of members.

2.      Publishing alumni news and other bulletins.

3.      conducting other activities to accomplish the objectives.

Article 4

The office of the Association shall be established at:

Roi Bldg. 6th Floor (in the office of Toranberu),  5-5-1 Roppongi

Minato-ku Tokyo 106-0032

CHAPTER 2   ORGANIZATION


Article 5

Those who qualify for either one of the following two classes of membership shall be admitted to the Association:

1.      Alumni Members: those who have graduated from UC Berkeley or who have studied at UC Berkeley.

2.      Special Members; a limited number of individuals whose memberships shall be invited by the association.

Article 6

The Executive Board of the Association shall be follows:

1.      President Emeritus

2.      President

3.      Vice President(s)

4.      Director(s)

5.      Secretary(ies)

6.      Associate Secretary(ies)

7.      Treasurer(s)

8.      Auditor(s)

9.      Advisor(s)

Article 7

Directors shall be elected by the attending members of the Association at the General Meeting.  President shall be elected by the Director

Article 8

President shall appoint Vice President, Secretaries, Associate Secretaries, Treasures and Auditors among the Directors with Approval of the Executive Board. President also shall appoint Advisory among the members.

Article 9

The terms of the Directors shall last until the day of the General Meeting.

Consecutive terms shall be permitted.


CHAPTER 3    FUNCTIONS OF THE EXECUTIVE BOARD


Article 10

The President of the Association shall represent the Association and supervise its operations.  Vice Presidents shall provide counsel and assistance to the President, and shall perform the Presidentfs function as needed with approval of the President

Article 11

The Executive Board shall be organized by Directors, and shall discuss issues important to the Association.  The President shall assemble and chair the Executive Board.

Article 12

Annual period starts April 1 and ends the following year on March 31.The President of the Association shall call a General Meeting once every year.  I

Article 13

The following items shall e discussed at the General Meeting:

1.      Operation plan

2.      Operational and accounting reports

3.      Asset list

4.      4.Changes in articles of the Association

Article 14

The General Meetingfs proceedings shall be adopted upon approval of a majority vote of attending members at the General Meeting.  If not decided by vote, the President of the Association shall decide.  Changes in articles of the Association shall be adopted upon approval of more than two-thirds of attending members of the General Meeting.

Article 15

Under the guidance of President, Secretaries shall conduct the Associationfs general work as well as matters outside of the scope of the other Directors.  Associate Secretary shall assist the Secretaries as necessary.

Article 16

Treasurers shall manage the assets of the Association, plan the budget, keep the books and prepare the annual statement.

Article 17

Auditors shall audit the books and records of the Association.


CHAPTER 4    FINANCE AND MEMBERSHIP FEE


Article 18

The assets of the Association shall be divided into fundamental assets and operational assets, and they shall be managed separately.

Article 19

The Association shall use following revenues:

1.      Membership fee

2.      Contributions

3.      Revenues from operations

4.      Profits generated from assets

5.      other revenues

Article 20

Alumni members shall be requested to pay a membership fee to the Association.  The amount of the membership fee shall be decided by the Executive Board.

Article 21

The fiscal year of the Association shall commence on the first day of April and expire on the last day of March next year.


CHAPTER 5    BRANCH OFFICES

Article 22

The Association shall establish branch offices is order to accomplish its objectives.

Article 23

The Executive Board shall discuss the establishment of a branch office.

Article 24

Branch office may decide special articles at their meetings.
